Plain English note: Sley gives you a private AI computer for agents, apps, and automations. You are responsible for the instructions you give, the tools you connect, the apps you host, and the outputs you choose to use.
1. Agreement to these terms
These Terms of Service are an agreement between you and Convogenie Technologies Private Limited for your access to and use of Sley Computer, the Sley website, onboarding, provisioning, support, and related services.
By creating an account, joining a cohort, paying for a seat, using the service, asking us to provision a Sley Computer, or otherwise accessing Sley, you agree to these terms. If you use Sley for a company, organization, or other person, you confirm that you have authority to accept these terms on their behalf.
If you do not agree to these terms, do not use Sley.
2. Company and product identity
Sley Computer is a product operated by Convogenie Technologies Private Limited, a company established in Bengaluru, Karnataka, India.
When these terms say "Sley," "Sley Computer," "we," "us," or "our," they mean Convogenie Technologies Private Limited operating the Sley Computer product. When these terms say "you," they mean the person, company, or organization using Sley.
Notices may be sent to rahul@convogenie.ai. If we later provide a separate legal notice address, order form, data processing agreement, or customer agreement, that document may provide additional notice details.
3. What Sley provides
Sley Computer is a private, always-on cloud computer designed to run AI agents, host apps and tools, store files, connect to third party services, run scheduled jobs, and automate work across tools you authorize.
The service may include Hermes Agent, app hosting, live previews, databases, storage, connected credentials, local or cloud services, support, AI credits, model provider integrations, browser automation, and other tools. Some features may be provided directly by us, and some may be provided through infrastructure providers, model providers, payment providers, or other third party services.
Sley is an early product and may include beta, experimental, founding cohort, preview, or limited availability features. Features may change, be migrated, have limits, or be discontinued as the platform develops. We will try to give reasonable notice when a material change affects paying customers.
4. Accounts, credentials, and permissions
You are responsible for your account, login methods, devices, seats, users, and anyone who uses Sley through your account. You must provide accurate account and billing information and keep it up to date.
Google Sign-In
If you use Google Sign-In, you authorize Sley to use the basic Google account information Google provides, such as your name, email address, profile picture, and Google account identifier, to authenticate you, create or secure your account, prevent abuse, and provide the service. We do not receive or store your Google password. Your use of Google Sign-In is also subject to Google's terms and policies, and you can revoke Sley's access from your Google account settings.
You are responsible for protecting passwords, API keys, OAuth tokens, SSH keys, model provider accounts, developer accounts, connected subscriptions, and other credentials. You should use least-privilege permissions where possible and revoke access you no longer need.
If you connect Gmail, Slack, Airtable, Notion, calendars, databases, storage, GitHub, model providers, developer tools, browser sessions, or other services, you authorize Sley and your agents to access and use those connections to perform the tasks you request or schedule.
You must not share access in a way that creates security risk, violates these terms, violates the terms of a connected service, or allows unauthorized users to control your Sley Computer.
5. Connected services, model providers, and BYO subscriptions
Sley works by connecting to services you authorize. These services may include AI model providers, APIs, email, calendars, chat tools, CRMs, databases, file storage, payment systems, developer tools, browsers, and websites.
Third party services have their own terms, privacy policies, limits, pricing, acceptable use rules, and data practices. You are responsible for complying with those terms. Sley is not responsible for third party services, outages, pricing changes, data handling, account restrictions, or actions taken by those providers.
If you bring your own Claude, OpenAI, Codex, Anthropic, Gemini, local model, API key, or other subscription, you remain responsible for that subscription, charges from that provider, provider limits, and provider terms. Sley may send task context, prompts, files, code, tool results, or other relevant data to those providers when needed to complete your requested tasks.
6. Apps, tools, and end users you host on Sley
Sley may let you build, preview, run, or host apps, internal tools, websites, databases, automations, APIs, dashboards, and other software. You are responsible for what you build, deploy, expose publicly, share with users, or connect to other systems.
You are responsible for your app content, app functionality, app end users, transactions, customer support, legal notices, privacy notices, data collection, permissions, security settings, backups, and compliance obligations for apps you host through Sley.
If your hosted app collects personal data, payments, customer records, health information, employee data, children’s data, financial data, or other regulated or sensitive information, you must provide any required terms, privacy policy, consent flows, notices, security controls, and compliance documentation for that app. Sley does not automatically make your hosted apps legally compliant.
We may limit, suspend, or remove hosted apps or public endpoints if we believe they create legal, security, abuse, infrastructure, payment, spam, malware, intellectual property, or third party platform risk.
7. AI agents, automations, and outputs
AI agents and model outputs can be wrong, incomplete, unsafe, biased, non-unique, or unsuitable for your use case. Agents can misunderstand instructions, use the wrong tool, write incorrect code, delete or change data, send the wrong message, or take an action you did not intend if permissions or instructions are too broad.
You are responsible for reviewing important outputs, code, messages, automations, transactions, and tool actions before relying on them, publishing them, sending them, or using them for decisions. Do not ask agents to do anything you would not be allowed to do yourself.
Sley does not provide legal, financial, medical, tax, employment, security, or other professional advice. You should involve qualified professionals before relying on Sley or any AI output for high-impact or regulated decisions.
AI outputs may not be unique to you. Similar prompts from other users may produce similar outputs. We do not guarantee that output is protectable, non-infringing, accurate, or suitable for commercial use.
8. Your content, data, and feedback
You keep ownership of files, prompts, messages, code, app data, databases, credentials, agent instructions, scheduled tasks, outputs, and other content you place in or generate with Sley, subject to any rights held by third parties or model providers.
You give us permission to process your content as needed to provide, provision, operate, secure, monitor, debug, support, bill, and improve Sley. Depending on your task, content may be sent to model providers, connected tools, APIs, infrastructure providers, or services you authorize.
You represent that you have the rights, permissions, consents, and legal basis needed for data you upload, connect, automate, host, or ask agents to process.
If you give us feedback, suggestions, bug reports, ideas, or feature requests, you allow us to use them without restriction or compensation to improve Sley and related products.
9. Acceptable use
You may not use Sley to break the law, harm others, attack systems, evade security controls, distribute malware, conduct phishing, send spam, scrape at abusive scale, violate intellectual property rights, impersonate others, invade privacy, process data without rights, or interfere with our infrastructure or other users.
You may not use Sley to generate, host, automate, or distribute content or systems that are illegal, deceptive, abusive, exploitative, hateful, sexually exploitative, infringing, or designed to bypass safety, security, rate limits, access controls, or platform rules.
You may not resell, lease, sublicense, or provide Sley as a managed service to third parties unless we agree in writing. You may not reverse engineer, overload, benchmark for competitive purposes, or attempt to bypass usage limits, metering, security, or billing controls.
10. Regulated, sensitive, and high-risk use
Unless we sign a separate written agreement specifically allowing it, you may not use Sley for protected health information or HIPAA-regulated workflows, payment card storage or PCI-regulated cardholder data, government classified or export-controlled data, children’s personal data, biometric identification, emergency services, or high-risk legal, medical, financial, employment, housing, insurance, credit, or safety decisions.
You are responsible for determining whether your use of Sley is subject to industry-specific laws or compliance obligations. Sley is not designed to be a compliance system by default.
11. Billing, Dodo Payments, taxes, credits, and cancellation
Paid Sley seats are billed according to the plan, pricing page, checkout page, invoice, order confirmation, or written agreement that applies to you. Plans may renew automatically unless cancelled according to the cancellation flow we provide.
Dodo Payments acts as Merchant of Record for payments related to Sley unless we tell you otherwise. This means Dodo Payments may process payments, issue invoices or receipts, collect and remit applicable taxes, handle payment authentication, manage certain refunds, and appear as the seller or merchant on payment records.
You authorize Dodo Payments, payment processors, card networks, banks, wallets, and related providers to process payment information as needed for your purchase. Dodo Payments may have its own terms, privacy policy, refund handling, tax handling, and compliance requirements.
Prices may exclude taxes unless stated otherwise. You are responsible for applicable taxes, duties, bank charges, foreign exchange fees, and payment provider fees. If a payment fails, is reversed, charged back, suspected of fraud, or remains unpaid, we may limit, suspend, or terminate access.
Included AI credits, compute limits, storage limits, bandwidth limits, support limits, or usage allowances apply only as described on the pricing page or order confirmation. Overages, top-ups, higher usage, custom support, or additional services may be billed separately. Bring your own AI subscriptions are paid directly by you to that provider unless we agree otherwise.
Unless your checkout, pricing page, applicable law, Dodo Payments flow, or a separate written agreement says otherwise, cancellation stops future billing but does not automatically refund prior paid periods, used credits, setup work, provisioning, support, or partially used periods.
12. Availability, support, and product changes
We work to keep Sley available and useful, but we do not promise uninterrupted, error-free, secure, or loss-free operation. Cloud providers, infrastructure issues, model providers, connected apps, network issues, maintenance, abuse controls, capacity limits, browser automation, user configuration, and agent errors can affect availability or results.
Founder support, shared Slack support, onboarding, migrations, or hands-on help are provided on a best-effort basis unless a separate written service level agreement says otherwise. Sley is not an emergency response service.
We may change, improve, limit, suspend, migrate, or discontinue parts of Sley as the product evolves. We will try to provide reasonable notice for material changes affecting active paying customers, but urgent security, abuse, legal, or infrastructure changes may happen without advance notice.
13. Security, monitoring, and abuse prevention
We use technical and organizational safeguards intended to protect Sley, including access controls, isolation where possible, logging, monitoring, secure infrastructure practices, and abuse prevention. No system is perfectly secure.
We may monitor logs, usage, security events, public endpoints, resource consumption, and account activity to operate Sley, debug issues, enforce these terms, protect users, comply with law, and prevent abuse. We do not guarantee that monitoring will detect every issue.
You are responsible for securing your own app code, hosted apps, secrets, permissions, connected accounts, public endpoints, and user data. You should back up important data and test automations before relying on them.
14. Suspension, termination, export, and deletion
You may stop using Sley or cancel your paid plan according to the cancellation flow we provide. We may suspend or terminate access if you violate these terms, create legal or security risk, fail to pay, abuse the service, violate third party rules, or if continuing service would create risk for Sley, Convogenie Technologies Private Limited, other users, providers, or the public.
After cancellation or termination, we may provide a reasonable opportunity to export data where practical, unless the account was terminated for abuse, legal risk, security risk, unpaid amounts, or another reason that makes export unsafe or impractical.
We may delete, archive, or disable access to your Sley Computer, hosted apps, files, databases, logs, public endpoints, and connected credentials after cancellation or termination. Some information may remain in backups, billing records, logs, security records, legal records, or provider systems for a limited period or as required by law.
15. Disclaimers and warranties
Sley is provided "as is" and "as available" to the maximum extent allowed by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted service, security, and availability.
We do not guarantee that agents will complete tasks correctly, that outputs will be accurate or lawful, that automations will run without error, that hosted apps will remain available, that data will never be lost, or that Sley will meet every requirement you have.
Nothing in these terms limits mandatory rights that cannot be limited under applicable law.
16. Limitation of liability
To the maximum extent allowed by law, Convogenie Technologies Private Limited, Sley, and our directors, employees, contractors, affiliates, suppliers, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, third party claims, or the cost of substitute services.
To the maximum extent allowed by law, our total liability for claims related to Sley is limited to the amount you paid to us for Sley in the three months before the event giving rise to the claim. If you used Sley for free, our total liability is limited to INR 10,000 or the minimum amount required by applicable law, whichever is greater.
The limits above apply whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if we were told a loss was possible.
17. Indemnification
You agree to defend, indemnify, and hold harmless Convogenie Technologies Private Limited, Sley, and our directors, employees, contractors, affiliates, suppliers, and providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from your content, hosted apps, app end users, automations, instructions, connected services, credentials, use of outputs, violation of these terms, violation of law, infringement of rights, or misuse of Sley.
18. Governing law and disputes
These terms are governed by the laws of India, without regard to conflict of law rules. Subject to mandatory law, the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes related to these terms or Sley.
Before filing a claim, both sides agree to try to resolve the dispute informally by sending notice to the other side and allowing at least 30 days for a good-faith resolution.
To the extent permitted by law, claims must be brought individually and not as a class, collective, representative, or private attorney general action. This does not limit rights that cannot be waived under applicable law.
19. General terms
You must comply with applicable export control, sanctions, anti-corruption, and trade laws. You may not use Sley if you are located in, ordinarily resident in, or controlled by a person or entity subject to sanctions that prohibit us from providing the service.
We may assign these terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or operation of the service by another entity. You may not assign these terms without our prior written consent.
We are not responsible for delay or failure caused by events beyond our reasonable control, including infrastructure failures, labor issues, internet failures, cloud provider outages, payment provider outages, model provider outages, cyberattacks, legal restrictions, natural disasters, war, or government action.
If any part of these terms is unenforceable, the remaining parts will remain in effect. Our failure to enforce a term is not a waiver. These terms, together with any order form, checkout terms, privacy policy, data processing agreement, or written agreement that applies, are the entire agreement for your use of Sley.
Sections that by their nature should survive termination will survive, including payment obligations, ownership, data permissions needed for wind-down, disclaimers, liability limits, indemnity, dispute terms, and general terms.
20. Changes to these terms
We may update these terms as Sley changes. When we make material changes, we will update the date above and make reasonable efforts to notify active customers. Continuing to use Sley after updated terms take effect means you accept the updated terms.
